Terms of Service

Non-Custodial Disclaimer

DevEscrow is a non-custodial smart contract facilitation service. We do not accept, hold, transmit, store, control, or custody user funds at any time. All funds are transferred directly from the buyer's wallet to an auditable smart contract deployed on the Base blockchain. The smart contract autonomously locks and releases funds according to its programmed logic. DevEscrow is not a money services business, money transmitter, bank, custodian, or financial institution under FinCEN, NYDFS BitLicense, or any other federal, state, or international regulation. We provide a software interface that facilitates interaction with publicly deployed smart contracts. Users interact with the blockchain directly using their own wallets and bear full responsibility for those interactions.

1. Acceptance of Terms

By accessing or using DevEscrow ("the Service"), operated by DevEscrow ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the updated Terms.

2. Description of Service

DevEscrow is a Discord-integrated, non-custodial contract facilitation platform that helps buyers and sellers of digital services transact securely using smart contracts on the Base blockchain. When a buyer funds an escrow, USDC (a US dollar-pegged stablecoin) is transferred directly from the buyer's wallet to the DevEscrow smart contract, which autonomously locks the funds on-chain. DevEscrow never receives, holds, controls, or has access to these funds. Buyers may acquire USDC via their wallet's built-in purchase flow (e.g. Coinbase Smart Wallet) or any other method of their choosing before funding the smart contract. All fund movements — locking, releasing, and refunding — are executed solely by the smart contract and are publicly verifiable on the Base blockchain.

3. Eligibility

You must meet the following requirements to use the Service:

  • Be at least 18 years of age
  • Have a valid Discord account
  • Reside in a jurisdiction where use of the Service is not prohibited by law
  • Not be a person or entity subject to economic sanctions imposed by the United States, European Union, United Kingdom, or United Nations
  • Not be located in a comprehensively sanctioned jurisdiction (currently Iran, Cuba, North Korea, Syria, and certain regions of Ukraine)

4. Account Registration

You register for the Service by authenticating with your Discord account via OAuth. You are responsible for maintaining the security of your Discord account and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

5. Contract Transactions

5.1 Creating a Contract

Contracts are created through our Discord bot or web dashboard. Each contract specifies a buyer, a seller, an amount, and a description of the service to be performed.

5.2 Funding a Contract

Buyers fund contracts by connecting their wallet and approving a USDC transfer directly to the DevEscrow smart contract on the Base blockchain. The smart contract locks the funds automatically upon receipt. DevEscrow does not receive, hold, or have access to these funds at any point. Buyers may acquire USDC beforehand via their wallet's built-in purchase flow (e.g. Coinbase Smart Wallet at account.base.app) or any other method of their choosing.

5.3 Releasing Funds

Once the buyer approves the seller's work, the platform operator triggers the smart contract's release function, which transfers the locked funds (minus the platform fee) directly to the seller's on-chain wallet address. If the buyer does not approve or dispute within 72 hours of the seller marking work as complete, the operator triggers an automatic release to the seller. In both cases, the smart contract executes the transfer — DevEscrow never holds or controls the funds.

5.4 Disputes

Either party may open a dispute if they believe the terms of the contract have not been met. Upon filing a dispute, a 14-day resolution window begins. Both parties are expected to submit evidence (screenshots, links, descriptions) within this window. The platform operator reviews the submitted evidence and, acting in a limited facilitation role, triggers either the smart contract's release function (funds to seller) or refund function (funds back to buyer) based on the evidence provided.

If no resolution is reached within 14 days, the smart contract automatically refunds the locked funds to the buyer. The operator does not custody, control, or have unilateral access to disputed funds — all actions are executed through the smart contract and are publicly verifiable on-chain.

Dispute resolutions are final. The on-chain transaction hash of every resolution is recorded and publicly auditable on the Base blockchain.

6. Fees

DevEscrow charges a platform fee of 13% on each contract transaction. This fee is deducted by the smart contract at the time of funding and sent directly to the platform fee receiver address on-chain. The fee is included in the total amount paid by the buyer and is disclosed before you confirm a transaction. DevEscrow does not charge withdrawal fees for direct USDC transfers. Additional fees may apply for third-party services such as wallet-based USDC purchases or offramp services.

7. Withdrawals

Sellers receive funds directly to their on-chain wallet address when a contract is released by the smart contract. Sellers may also use third-party services to convert USDC to fiat currency in their bank account. Withdrawal processing times and fees for offramp services vary by method and provider.

8. Prohibited Activities

You agree not to use the Service for:

  • Any illegal activity, including money laundering, terrorist financing, or fraud
  • Transactions involving illegal goods or services
  • Circumventing sanctions or export controls
  • Gambling, wagering, or lottery activities
  • Adult entertainment or pornography
  • Sale of firearms, weapons, or controlled substances
  • Multi-level marketing or pyramid schemes
  • Any activity that violates the rights of others
  • Attempting to manipulate or abuse the contract or dispute system
  • Creating multiple accounts to circumvent restrictions

9. Anti-Money Laundering (AML) and Compliance

DevEscrow maintains a comprehensive Anti-Money Laundering (AML) compliance program in accordance with applicable regulations. Although we are a non-custodial service that does not hold, transmit, or control user funds, we are committed to preventing the use of our platform for money laundering, terrorist financing, or other financial crimes. We implement the following measures for platform safety and regulatory compliance:

  • User identity verification through Discord OAuth and, where required, additional verification
  • Transaction monitoring for suspicious activity patterns on our platform
  • Trust scoring system to assess user risk
  • Cooperation with law enforcement when required by law
  • Screening against sanctions lists maintained by OFAC, the EU, the UK, and the UN

We reserve the right to suspend or terminate accounts, restrict access to the Service, or report suspicious activity to the appropriate authorities as required by applicable law. Because we do not custody funds, account restrictions apply to platform access only — funds locked in smart contracts remain governed solely by the smart contract's logic.

10. Intellectual Property

The Service, including its design, code, and content, is owned by DevEscrow and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service without our written permission. The DevEscrowV1 smart contract is deployed on a public blockchain and its bytecode is publicly verifiable.

11. Limitation of Liability

To the maximum extent permitted by law, DevEscrow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount of fees you have paid to us in the 12 months preceding the claim.

DevEscrow is not responsible for losses resulting from blockchain network failures, congestion, or downtime; smart contract vulnerabilities or exploits; third-party service outages (including Base network RPC providers, wallet providers, or payment processors); unauthorized access to your Discord account or wallet; user error in specifying wallet addresses or transaction parameters; or fluctuations in the value of USDC or other digital assets. Users bear all responsibility for their direct on-chain interactions, including approving token transfers and funding smart contracts.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the smart contract will be free from bugs, vulnerabilities, or exploits. Users should independently verify the smart contract code before interacting with it.

13. Indemnification

You agree to indemnify and hold harmless DevEscrow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your interaction with the smart contract, or your violation of these Terms.

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, any funds locked in the smart contract remain governed by the smart contract's logic and are not affected by your platform account status. Buyers may still reclaim funds from the smart contract after the claim window expires, regardless of account status.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
